In response to the STP agenda and feedback from company secretaries, we have developed a one day masterclass for company secretaries, executive directors, non executive directors and project managers which aims to provide information and support for organisations either in the midst of or planning a merger, acquisition or substantial organisational change.
The course opens with a review of the role of the company secretary and the board along with an overview of the legal requirements and potential pitfalls surrounding these transactions. We will also explore the anatomy of a transaction including project planning, due diligence, the appraisal process, risk management and the plan for the first 100 days following completion. A successful transaction requires full and frank engagement with all stakeholders including staff, governors, members and the public, especially as some may be directly affected by the changes and during the day we will encompass specific examples from trusts who have experience in this area.
Whilst the processes that underpin a significant transaction are vital to success, understanding what has worked well and what could be improved in the future is of equal importance in a learning organisation. The completion of a post transaction benefit analysis is often overlooked and we will review key elements that should be included. As always with our events the day will be a mixture of presentations with protected time for discussion and networking.
The speakers for the day will include experts in this field however, we know that delegates most value hearing lessons learned directly from executives that have already successfully negotiated the process.
